Mastering complex deals in Russia

We render a full range of services related to corporate law issues and securities. Key types of work include public and private M&A, joint ventures, setting up and restructuring corporations, corporate governance, licensing, and competition law compliance. Aided by the firm’s litigation lawyers, we also assist in bankruptcy and liquidation of companies and in the resolution of corporate and commercial fraud disputes.


Advising Rockwell Capital investment fund and the state development corporation VEB.RF on the creation of a joint holding company for timber processing, including the construction of a new pulp and paper mill in eastern Siberia. Volume of investments in the project: $2.35 b (2019-present)

Advised a shareholder of Novatek, Russia's largest independent natural gas producer, on the restructuring of ownership. Deal value: $7 b+ (2018)

Advised Gazprombank on the acquisition of a 19% stake in Megafon, one of Russia’s BIG-3 mobile network operators, from Telia Company, a European telecommunication corporation. Deal value: ₽60.5 b ($1 b+) (2017)

Advised the shareholders of SIBUR Holding, Russia's largest gas processing and petrochemicals company, on the sale of a 10% minority stake to China Petroleum & Chemical Corporation (Sinopec). Stake value: $1.34 b (2014-2015)

Advised the shareholders of SIBUR Holding on the sale of 10% of shares to the Chinese Silk Road Fund. Deal value: undisclosed (2016-2017)

Advised a Russian investor (i) on the acquisition of a 74% stake in Ust-Luga Oil, the operator of the Ust-Luga oil transfer terminal, from a leading global commodities trading house; (ii) on the sale of a blocking stake in a large Russian oil terminal and its agency company to a Russian state transshipment company. Deal values: (i) ₽60 b+ ($1 b+)(2015-2016); (ii) ₽30 b ($500 m+) (2017)

Advised a leading Russian investment group on a complex multistage and multi-jurisdictional corporate restructuring in connection with its deoffshorisation. Deal value: $2 b+ (2015-2016)

Advised a Chinese real property major on the envisaged acquisition of a controlling stake in a Russian company with a large portfolio of commercial real estate in Moscow. Deal value: $650 b (2017-2018, project on hold)
